TERMS & CONDITIONS

SJP Consultancy, including Simon J. Price, and any subsidiary, affiliate, contractor, agent, consultant, or representative acting for or on behalf of SJP Consultancy (“SJP”).


1. Introduction & Acceptance

SJP provides global professional consultancy, advisory, and documentation services.

By engaging SJP in any capacity, whether directly or indirectly, you (“the Client”) irrevocably agree to be bound by these Terms & Conditions in full.

These Terms:

      • Apply to all services and engagements
      • Apply regardless of jurisdiction or location
      • Apply to all communication methods (in person, phone, email, messaging platforms, video calls, or otherwise)
      • Form a legally binding agreement upon payment or engagement

If you do not accept these Terms, you must not engage SJP’s services.


2. Scope of Services

SJP provides professional consultancy and advisory services, including but not limited to:

      • General advisory and strategic consulting
      • Notarial and apostille preparation services
      • Wills, estate planning, and powers of attorney
      • Immigration, visa, and spousal relocation assistance
      • Blacklist removal, overstayer support, and compliance assistance
      • Lost passport and emergency documentation support
      • Company registration and corporate structuring services
      • General legal coordination and case management

SJP may engage:

      • Independent lawyers
      • Notaries
      • Accredited agents
      • Government intermediaries
      • Third-party professionals

SJP is not a law firm and does not provide litigation or court representation.


3. Nature of Services & Professional Limitations

All services:

      • Are advisory and facilitative in nature
      • Are provided using professional skill and experience

However:

      • No guarantee or warranty is given regarding outcomes
      • All outcomes depend on third-party authorities, including:
        • Governments
        • Immigration departments
        • Courts and tribunals
        • Embassies and consulates

All services are provided:

“As is” and at the Client’s own risk


4. Fees, Payments & Financial Terms

4.1 Advance Payment

      • All services must be paid in full in advance
      • Work will not commence until cleared funds are received

4.2 Nature of Fees

      • Fees are paid for professional time, expertise, and availability
      • Fees are earned upon receipt
      • Fees are not contingent on outcomes

4.3 Non-Refundable Fees

      • All fees are strictly non-refundable under any circumstances

4.4 Fee Variations

      • Fees quoted are estimates only
      • Fees may change due to complexity, urgency, or jurisdiction

4.5 Disbursements

Clients are responsible for all third-party costs, including:

      • Government fees
      • Immigration charges
      • Court or legal costs
      • Translations, notarisation, courier fees

5. Payment Methods, Disputes & Chargebacks

5.1 Accepted Payment Methods

Payments may be made via:

      • Bank transfer
      • Credit/debit cards
      • Online payment platforms
      • Cash (where legally permitted)
      • Third-party remittance services

5.2 Client Responsibility

The Client confirms:

      • They are authorised to use the payment method
      • All payments are lawful

5.3 Chargeback Prohibition

The Client agrees:

      • Not to initiate chargebacks or payment reversals

Any chargeback constitutes:

A material breach of contract

5.4 Liability for Recovery Costs

The Client is liable for:

      • All recovery costs
      • Banking and processing fees
      • Legal and debt collection expenses
      • Currency exchange losses

SJP reserves the right to pursue recovery through legal and third-party channels.


6. No Warranty – No Guarantee

SJP provides:

      • No guarantee of success
      • No guarantee of approval
      • No guarantee of timelines

There is:

No money-back guarantee under any circumstances


7. Confidentiality, Documents & Non-Disclosure

7.1 Confidential Nature of Work

SJP operates in sensitive environments requiring strict confidentiality.

7.2 Withholding of Documents

The Client acknowledges and agrees that SJP may:

      • Withhold
      • Redact
      • Refuse to disclose

any documents, including:

      • Official receipts
      • Government-issued documents
      • Internal correspondence
      • Third-party communications

7.3 Protected Content

This includes documents containing:

      • Official seals or stamps
      • Government identifiers
      • Sensitive operational information
      • Details relating to SJP’s:
        • Sources
        • Intermediaries
        • Professional network
        • Decision-makers

7.4 No Right to Disclosure

The Client agrees they have:

No automatic right to access such documents

SJP retains absolute discretion.


8. Fraud, Misrepresentation & Client Conduct

8.1 Duty of Accuracy

The Client warrants that all information provided is:

      • True
      • Accurate
      • Complete
      • Not misleading

8.2 Right to Verify

SJP may verify information with:

      • Authorities
      • Financial institutions
      • Third parties

8.3 Zero Tolerance

If the Client provides false or misleading information, SJP may:

      • Terminate services immediately
      • Retain all fees
      • Refuse further engagement
      • Report matters where appropriate

8.4 Financial Consequences

The Client remains liable for:

      • All fees
      • All costs incurred
      • Any resulting losses

8.5 Indemnity

The Client agrees to indemnify SJP against all losses arising from:

      • Fraud
      • Misrepresentation
      • Non-disclosure

9. Limitation of Liability

9.1 Maximum Liability

To the fullest extent permitted by law:

SJP’s total liability is limited to GBP £100

9.2 Excluded Losses

SJP is not liable for:

      • Indirect or consequential loss
      • Financial loss or lost opportunity
      • Reputational damage
      • Business interruption

10. Consumer Rights & Legal Compliance (England & Wales)

Nothing in these Terms excludes rights under:

      • The Consumer Rights Act 2015
      • The Unfair Contract Terms Act 1977

10.1 Nature of Services

The Client acknowledges that:

      • Services are bespoke and time-sensitive
      • Work often begins immediately
      • Resources are allocated upon engagement

10.2 Fairness of Fees

The Client agrees:

      • Fees are reasonable due to the nature of services
      • Payments reflect time, expertise, and commitment

10.3 Liability Cap Acknowledgment

The Client agrees the £100 cap is:

      • A fair commercial allocation of risk
      • Reflected in pricing

10.4 Enforceability

If any clause is unenforceable:

      • It shall be modified to the minimum extent necessary
      • The remainder remains valid

11. Indemnity

The Client agrees to indemnify SJP against all claims arising from:

      • Breach of these Terms
      • False or misleading information
      • Third-party actions
      • Payment disputes or chargebacks

12. Termination of Services

SJP may terminate or refuse services:

      • At its sole discretion
      • With or without notice
      • Without explanation

All fees remain non-refundable.


13. Jurisdiction & Governing Law

These Terms are governed exclusively by the laws of England & Wales.

All disputes must be resolved:

Exclusively in the courts of England & Wales

15. Severability

If any provision is invalid:

      • The remaining Terms remain fully enforceable

16. Amendments

SJP may amend these Terms at any time.

Continued engagement constitutes acceptance.


17. Final Acknowledgment

By engaging SJP, the Client confirms:

      • They have read and understood these Terms
      • They accept:
        • No refunds
        • Advance payment requirement
        • £100 liability cap
        • Document non-disclosure
        • Chargeback liability
        • Exclusive UK jurisdiction
