Terms & Conditions
Effective Date: 01 January 2026
Legal Entity: SJP and any subsidiary, affiliate, or individual acting for, with, or upon SJP.
1. Introduction and Acceptance
SJP (hereon known and referred to as “SJP”) provides professional consultancy, advisory, and document services worldwide. By engaging SJP in any capacity—whether directly or indirectly—you (“you”, “your”, “the client”) agree to be bound by these Terms and Conditions in their entirety.
These Terms and Conditions apply to all business activities, services, and engagements conducted by SJP, regardless of communication method (in person, phone, email, video conference, or other) and irrespective of location, country, or jurisdiction where the services are provided.
If you do not accept these Terms and Conditions, you must not engage SJP’s services.
2. Scope of Services
SJP provides professional consultancy, advisory, and documentation services, including but not limited to:

General Counsel and Advisory Work – providing strategic, procedural, and compliance advice to individuals, businesses, and organisations;
- Notarial and Apostille Preparation Services;
- Wills & Estate Planning;
- Enduring Powers of Attorney
- Spousa Immigration and Visa Assistance
- Blacklist Removal, Overstayer Support, and Lost Passport Assistance.
- Vietnamese Company Registration Services
- General Legal Counsel
SJP operates globally and may work in conjunction with independent legal practitioners, notaries, accredited agents, or other qualified professionals where required. SJP is not a law firm and does not provide direct litigation or court representation.
3. Professional Standards & Limitations
While SJP applies the highest level of skill, diligence, and industry best practice:
- No guarantee, warranty, or assurance is provided regarding the success or outcome of any matter;
- Results depend on the actions, decisions, and timeliness of third‑party authorities, including but not limited to courts, tribunals, immigration departments, embassies, registries, and notarial bodies;
- All services are provided strictly “as is” and at the client’s own risk.
4. Fees, Retainers, and Payment Terms
- All work is conducted on a retainer basis and must be paid in full, in advance before commencement;
- All fees are non‑refundable under any circumstances unless explicitly agreed otherwise in writing;
- Any fee quoted is an estimate only and may be subject to change if the complexity, urgency, or jurisdictional requirements vary;
- Disbursements such as government charges, courier costs, translations, and related third‑party fees are billed separately and payable on demand;
- SJP retains ownership of all prepared, processed, or obtained documents until all outstanding fees and obligations are settled.
5. No Warranty – No Money Back Guarantee
- SJP makes no express or implied warranties as to the outcome of its services;
- You accept there is no money back guarantee under any circumstances.
6. Limitation of Liability
- Maximum Liability Cap: By engaging SJP, you agree that any and all financial damages, claims, or compensation—whether relating to a single engagement or multiple engagements—are strictly limited to GBP 100.00 in total;
- This limitation applies to SJP, its owner, staff, contractors, agents, representatives, and any person acting on its behalf;
- SJP is not liable for indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of opportunity, income, contracts, or goodwill.
7. Indemnity
You agree to indemnify, defend, and hold harmless SJP and all related persons against any claim, loss, cost, liability, or expense (including legal fees) arising from:
- Any false, misleading, incomplete, or inaccurate information you provide;
- Any breach of these Terms and Conditions;
- Any action or inaction of third parties beyond SJP’s control.
8. Termination of Services
SJP reserves the right to decline, suspend, or terminate any engagement:
- At its sole discretion, with or without cause;
- With or without notice;
- Without any obligation to provide reasons.
Fees paid remain non‑refundable upon termination.
9. Jurisdiction and Governing Law
- These Terms and Conditions are governed exclusively by the laws of England and Wales.
- This jurisdiction applies regardless of the country, territory, or location in which the services are provided or where the client resides.
- All complaints, disputes, claims, or legal proceedings must be brought solely in the courts of England and Wales.
- This clause overrides any conflicting laws, agreements, or forum selection rules.
10. Complaints Handling
SJP is committed to addressing client concerns fairly and promptly.
Who Handles Complaints:
All complaints are handled personally by Simon J. Price, Owner of SJP.
How to Make a Complaint:
- Complaints must be submitted in writing to: simon@sjpconsultancy.com
- Please include your full name, contact details, date(s) of service, and a clear description of the issue.
- Supporting documents or evidence should be attached where relevant.
When Complaints Are Addressed:
- Written acknowledgement will be provided within 5 business days of receipt.
- A full written response will normally be issued within 20 business days unless the matter is complex or requires third‑party input, in which case an estimated timeframe will be provided.
What We Will Do:
- We will investigate the matter, review all relevant documentation, and, if necessary, speak directly with the client and any staff or contractors involved.
- Where an error or deficiency is identified, SJP will take reasonable steps to correct it within the constraints of these Terms and Conditions.
- Where no fault is found, we will explain our findings in writing.
Finality:

All complaints are handled under the exclusive jurisdiction of England and Wales (see Clause 9).

Any remedy offered by SJP is final unless otherwise ordered by a competent court in England and Wales.
11. Severability
If any part of these Terms and Conditions is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
12. Amendments
SJP may amend these Terms and Conditions at any time without prior notice. The most recent version will apply to all ongoing and future engagements.
13. Acknowledgement
By engaging SJP, you confirm that you have read, understood, and agreed to be bound by these Terms and Conditions, including the GBP 100 total liability cap, no refund policy, and exclusive jurisdiction of England & Wales.
